By accessing or using motiovsity's platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this service. These Terms constitute a legally binding agreement between you and motiovsity, Inc.
motiovsity provides a cloud-based employee recognition and engagement SaaS platform designed to help organizations celebrate, reward, and motivate their teams. We reserve the right to modify, suspend, or discontinue any aspect of the service at any time with reasonable notice to active subscribers. Feature availability may vary by subscription plan.
You must provide accurate, complete, and current information when creating an account. You are solely responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. Notify us immediately at [email protected] if you suspect any unauthorized use of your account.
All subscription fees are billed in advance on a monthly or annual basis, as selected at checkout. Payments are processed securely via our third-party payment processor; motiovsity does not store full card details. Failure to pay may result in suspension of your account after a 7-day grace period.
You may cancel your subscription at any time from your account dashboard; cancellation takes effect at the end of the current billing period. Monthly subscriptions are non-refundable after the billing date. Annual subscriptions may be eligible for a pro-rated refund within 14 days of the renewal charge — contact [email protected] to request one.
All content, software, trademarks, logos, and technology comprising the motiovsity platform are the exclusive property of motiovsity, Inc. and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the platform solely for your internal business purposes during an active subscription. You retain all rights to data and content you upload to the platform.
You may not use motiovsity to transmit unlawful, harassing, defamatory, or fraudulent content. You may not attempt to reverse-engineer, scrape, or otherwise extract the underlying software or data structures of the platform. Accounts found in violation may be terminated immediately without refund.
The service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. motiovsity does not warrant that the service will be error-free or uninterrupted at all times.
To the maximum extent permitted by law, motiovsity's total cumulative liability arising out of or related to these Terms shall not exceed the greater of (a) the fees you paid in the 12 months preceding the claim or (b) USD $100. In no event shall motiovsity be liable for indirect, incidental, special, consequential, or punitive damages.
motiovsity may terminate or suspend your access immediately, without prior notice, for conduct that we determine violates these Terms or is harmful to other users, motiovsity, or third parties. Upon termination, your right to use the service ceases immediately and we may delete your data in accordance with our Privacy Policy.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

These terms may be updated from time to time.
We'll notify active subscribers of material changes via email at least 14 days before they take effect. Continued use of the service after changes constitutes acceptance of the revised Terms.
